

Terms of Use
These Terms and Conditions set forth the conditions for the use of membership services and value-added services provided to VIP Members at the Japan Ariake International Exhibition VIP Club operated by Japan Ariake Co., Ltd. (hereinafter referred to as the “Operator”).
Individuals, corporations, and organizations wishing to become VIP Members (hereinafter referred to as “Members”) shall fully understand and agree to these Terms and Conditions before submitting an application. If a Member uses the VIP membership services, the Member shall be deemed to have agreed to all provisions of these Terms and Conditions.
Article 1 (Definitions)
The terms used in these Terms and Conditions shall be defined as follows:
1. Operator
Refers to Japan Ariake Co., Ltd.
2. Services
Refers to all services provided by the Operator to Members, including VIP membership services and value-added services.
3. Member
Refers to an individual, corporation, or organization that has agreed to these Terms and Conditions, applied for membership with the Operator, and has been approved following review.
4. Website
Refers to the website operated by the Operator (https://www.ariakejp.com).
5. Member Information
Refers to information provided to or disclosed by the Member to the Operator, as well as information relating to the Member that is obtained by the Operator in the course of its business operations.
6. Business Day
Refers to a day on which the Operator conducts its business operations.
7. Provided Address (Exhibition)
Refers to the address of the exhibition venue provided as part of the exhibition services.
Article 2 (Purpose)
The Operator and the Members shall cooperate with each other for the purpose of establishing a sound environment that contributes to enhancing the credibility and interests of the Members.
Article 3 (Amendments to the Terms and Conditions)
1. These Terms and Conditions shall apply to all VIP Members who use the exhibition services and value-added services.
2. The Operator may amend or supplement these Terms and Conditions without prior notice.
3. In the event of any amendment or addition to these Terms and Conditions, the Operator shall notify Members at their registered email addresses.
4. The amended Terms and Conditions shall become effective at the time they are posted on the Website.
5. If a Member uses the Services after any amendment to these Terms and Conditions, the Member shall be deemed to have agreed to such amendment.
Article 4 (Handling of Member Information)
1. The Operator shall properly manage Member Information and shall not disclose such information to any third party without the Member’s consent, except in the following cases:
(1) When required by laws or regulations;
(2) When necessary for the protection of a person’s life, body, or property and it is difficult to obtain the Member’s consent;
(3) When particularly necessary for the improvement of public health or the sound development of children;
(4) When cooperation with national or local governmental authorities is required pursuant to laws or regulations.
2. The management of Member Information shall be governed by the “Privacy Policy” posted on the Website.
3. Member Information shall not be used for purposes other than the operation of exhibitions and member-related services.
Article 5 (Application for Membership)
1. Any person wishing to use the VIP membership services shall apply through the membership application form on the Website after agreeing to these Terms and Conditions.
2. At the time of application, the following documents shall be submitted:
(1) Individual / Sole Proprietor VIP Member
• Identification documents and business license, etc. (valid for at least six (6) months)
(2) Corporate / Organizational VIP Member
• Corporate business license
• Identification document of the representative (valid for at least six (6) months)
3. After conducting a review, if the Operator approves the application, the Operator shall notify the applicant of the payment method and required fees via the registered email address.
Article 6 (Membership Screening)
Pursuant to these Terms and Conditions, the Operator shall determine, at its sole discretion and regardless of reason, whether to approve or reject any application for membership.
Article 7 (Membership Procedures)
1. Upon receipt of the approval notification email, the applicant shall pay the prescribed admission fee and membership fee within three (3) business days.
2. After confirming receipt of payment, the Operator shall send the contract documents and usage guidelines by email.
3. The provision of VIP membership services shall commence on the date when identity verification is completed.
Article 8 (Non-Transfer of Membership and Rights)
Membership shall be granted only to the person whose application has been approved through the procedures set forth in Articles 5 through 7 (or, in the case of a corporation, its registered representative). Under no circumstances—including merger, company split, succession of status, business transfer, share transfer, change of corporate representative, or any other reason—may membership be transferred, succeeded to, or re-granted to any third party.
However, in the event of a change of the corporate representative of a corporate member, this shall not apply if, as a result of prior screening, the Operator approves the continuation of membership.
The creation of a pledge or the provision of membership as security in any manner is prohibited.

Article 9 (Changes to Application Details and Contract Terms)
If a Member wishes to make any changes or additions to matters specified for each exhibition in relation to the content of the service agreement, the Member shall apply to the Operator in advance, submit the required documents, and obtain review and approval.
The applicable matters shall include, but are not limited to, the following:
1. Name of a corporate member (including incorporation of a sole proprietorship)
2. Representative of a corporate member
3. Business activities
4. Purpose of using the VIP Membership Services
If a Member makes any change or addition without obtaining approval as set forth in the preceding paragraph, and the Operator determines such change or addition to be inappropriate, the Operator may request correction or suspension within a specified period.
If the Member fails to comply with such request and does not make the required correction within the designated period, the Operator may, regardless of the reason, forcibly terminate the membership and revoke the Member’s membership qualification.
If a change or addition under Paragraph 1 is approved, the Member shall, within seven (7) business days from the day following the date of change (or, where registration is required, the date of completion of registration), submit the following documents and complete the prescribed procedures:
1. Change of corporate name:
• Certified copy of the company registry reflecting the change
2. Change of corporate representative:
• Certified copy of the company registry reflecting the change
• Official document certifying the representative’s name, address, and date of birth (valid for at least six (6) months)
3. Change or addition of business activities:
• For corporate members: Certificate of registered matters (issued within the past six (6) months)
If any of the following matters are changed, the Member shall, within seven (7) business days from the day following the date of change (or, where registration is required, the date of completion of registration), notify the Operator of the details and date of such change and submit the prescribed documents:
1. Address of a corporate member
2. Address of the corporate representative
3. Address of an individual member
4. Name of an individual member
5. Address of the person in charge
6. Emergency contact telephone number (no documentation required)
7. Contact email address (no documentation required)
8. Emergency contact information of the transaction manager (no documentation required)
An administrative fee of JPY 30,000 shall be charged for each change or addition.
Changes to the contract terms for individual members who subsequently incorporate their business shall be separately stipulated.
Article 10 (Business Days and Business Hours)
Business days shall be from Monday through Friday each week, excluding the following days:
1. National holidays;
2. Holidays separately announced in advance by the Operator.
Exhibition participation days shall include national holidays.
Business hours shall be from 9:00 a.m. to 5:00 p.m.
Article 11 (Provision of Services)
The Operator shall provide exhibition services and value-added services during the business days and business hours set forth in the preceding Article, or on exhibition participation days.
Services shall be provided exclusively to VIP Members.
Communication between the Operator and Members shall, in principle, be conducted by email.
Article 12 (Payment of Fees)
The commencement date of service provision shall be the date on which the Operator confirms receipt of payment.
The annual membership fee for VIP Members shall be paid no later than one (1) month prior to each annual renewal date. If a Member fails to make payment within the prescribed period, the Operator may suspend the provision of services.
If the required fees are not paid, the Operator may suspend the provision of services. In no event shall any fees already paid be refunded, regardless of the reason.
Article 13 (Suspension and Compulsory Termination of Membership)
If the Operator determines that a Member falls under any of the following circumstances, the Operator may suspend the Member’s qualification or enforce compulsory termination without prior notice or demand:
1. Violation of these Terms or related rules;
2. Failure to complete identity verification in accordance with the Act on Prevention of Transfer of Criminal Proceeds;
3. Submission of false registration information;
4. Conducting business activities not included in the registered information without authorization;
5. Delay in payment of fees;
6. Inability to contact the Member for three (3) consecutive days or more;
7. Damage to the credibility of, or causing loss to, the Operator;
8. Suspicion of illegal or criminal activity;
9. Conduct contrary to public order and morals;
10. Use of the services for adult entertainment businesses, adult-oriented businesses, or political or religious activities;
11. Suspicion of providing benefits to anti-social forces;
12. Commencement of bankruptcy or other legal insolvency proceedings;
13. Causing serious disruption to business operations;
14. Any other circumstance deemed inappropriate by the Operator.
Article 14 (Effect of Suspension of Membership)
During the period of suspension, the Member shall not be entitled to use any VIP Membership Services. Membership fees shall not be reduced during the suspension period.
Article 15 (Compulsory Termination)
Notice of compulsory termination shall be sent to the email address registered by the VIP Member.
No refund shall be made for any unused portion of fees as a result of compulsory termination.
By the effective date of termination, the Member shall remove or destroy all references to the exhibition address and membership status appearing on websites, business cards, printed materials, or any other media.
Article 16 (Governing Law)
These Terms and Conditions shall be governed by the laws of Japan.
